Mbilia Studios – General Terms and Conditions

1. Introduction
1.1 These General Terms and Conditions (“Terms”) govern the relationship between Mbilia Novelties Trading LLC, a company registered in Dubai, United Arab Emirates (“Mbilia”, “we”, “our”, “us”), and the customer (“Customer”, “you”).
1.2 These Terms apply to:
1.2.1 access to and use of Mbilia’s website and digital platforms;
1.2.2 all orders, sales, and purchases of artworks and collectibles (including but not limited to sculptures, limited editions, prints, and cards);
1.2.3 studio and in-person sales;
1.2.4 delivery, shipping, and fulfilment of purchases; and
1.2.5 after-sales care, authenticity, and warranties.
1.3 By purchasing from Mbilia or using our services, you agree to be bound by these Terms.
2. Definitions
2.1.1 Agreement means the binding contract between you and Mbilia, comprising these Terms, the Order Confirmation, the invoice, and any annexes.
2.1.2 Artworks includes original and limited-edition sculptures, cards, plates, prints, or other collectibles produced or sold by Mbilia.
2.1.3 Products means any items offered for sale by Mbilia, including artworks, collectibles, packaging, and related goods.
2.1.4 Limited Edition means an artwork or collectible produced in a finite series, individually numbered and/or accompanied by a certificate of authenticity.
2.1.5 Prototype means a sample, mock-up, render, or early production version shown for illustrative purposes only; final items may differ.
2.1.6 Custom Order means items specifically commissioned, customised, or personalised to your specifications; such orders are non-refundable.
2.1.7 Order means your request to purchase one or more items from Mbilia.
2.1.8 Order Confirmation means written confirmation from Mbilia accepting your order and establishing a binding Agreement.
2.1.9 Purchase Price means the price payable for the item, as stated in your invoice.
2.1.10 Website means www.mbilia.com and associated platforms, including digital authentication services.
2.1.11 Certificate of Authenticity means a certificate confirming the authenticity of an artwork or collectible, whether physical or digital.
2.1.12 Force Majeure means events outside Mbilia’s reasonable control including but not limited to natural disasters, acts of government, strikes, shortages, or technological failures.
3. Use of Website and Digital Platforms
3.1 You must be at least 18 years of age to place an order.
3.2 You are responsible for maintaining accurate information on your account and securing your login credentials.
3.3 Mbilia may suspend or terminate accounts for misuse, fraudulent activity, or breach of these Terms.
3.4 Website content is provided “as is” without warranty.
3.5 Third-party links may be provided for convenience; Mbilia accepts no liability for external content.
4. Orders and Acceptance
4.1 Placing an order constitutes an offer to purchase. An Agreement is formed only when Mbilia issues an Order Confirmation.
4.2 Offers and prices may be withdrawn or amended at any time before confirmation.
4.3 Pre-orders or reservations for limited editions may require deposits; allocation is not guaranteed until confirmed.
4.4 Mbilia reserves the right to refuse or cancel orders where fraud, error, or unauthorised resale is suspected.
5. Payment Terms and Retention of Title
5.1 Payment must be made in full unless Mbilia has agreed in writing to a payment schedule.
5.2 Payment Methods
All payments must be made via Stripe or PayPal through the Mbilia website checkout. No other payment methods are accepted unless expressly agreed in writing by Mbilia. By placing an order, the Customer agrees to the terms and privacy policies of Stripe and PayPal, which govern the processing of payment information. Mbilia does not store or have access to Customer credit or debit card details.
5.3 For certain items, a non-refundable deposit of up to 50% may be required.
5.4 Title to goods passes to you only once Mbilia has received full cleared payment. Until then, Mbilia retains ownership.
5.5 In the event of non-payment, Mbilia reserves the right to charge interest, recover costs, and cancel the Agreement.
6. Delivery, Risk and Shipping
6.1 Items will be delivered to the address stated in the Order Confirmation.
6.2 Delivery times are estimates and may vary depending on production, availability, and shipping conditions.
6.2A Production and Delivery Timeline
All products are made-to-order in Dubai, United Arab Emirates. From the date of purchase, production and delivery will typically require six (6) to eight (8) weeks. All shipments are arranged through trusted global couriers, including but not limited to FedEx, DHL, UPS, and Aramex. All deliveries are insured and tracked. Mbilia’s insurance covers the artwork until delivery is confirmed. Delivery times may vary depending on production capacity, customs clearance, and courier conditions.
6.3 Shipping Arrangements
Mbilia arranges all shipments to the Customer through trusted global couriers, including but not limited to FedEx, DHL, UPS, and Aramex. All shipments are insured and tracked. Mbilia’s insurance covers the artwork until delivery is confirmed. Customers are not required to arrange separate shipping or insurance unless otherwise agreed in writing with Mbilia.
6.4 Customs and Import Duties
International orders may be subject to import duties, customs fees, and local taxes imposed by the destination country. These charges are the responsibility of the Customer and are not included in the Purchase Price.
6.6 Delays Disclaimer
While Mbilia makes every effort to meet estimated production and delivery timelines, delays may occur due to factors outside Mbilia’s control. Such delays do not entitle the Customer to cancel the order or claim compensation, unless the delay is unreasonable and directly attributable to Mbilia.
7. Installation and Handling
7.1 Certain artworks may require professional installation. Mbilia may provide guidance but is not liable for damage caused by third-party installers.
7.2 You agree to handle artworks and collectibles with care and in line with any instructions provided.
7.3 Mbilia is not responsible for damage caused by improper handling, installation, or environmental exposure (including humidity, heat, or sunlight).
8. Authenticity and Certificates
8.1 Where applicable, artworks and collectibles may be accompanied by a Certificate of Authenticity, either physical or digital (including NFC or blockchain-based).
8.2 Mbilia warrants the authenticity of items purchased directly from us. We do not guarantee authenticity for items acquired through unauthorised resellers.
9. Care and Maintenance Guidelines
9.1 You acknowledge that all artworks and collectibles produced by Mbilia are delicate and must be handled with the highest level of care. You agree to follow all instructions provided by Mbilia. In particular, you must:
9.1.1 avoid touching the surface of artworks unnecessarily and never sit, lean, or place objects on them.
9.1.2 keep items away from direct sunlight, heat sources, excessive humidity, or unstable environments.
9.1.3 clean only with a soft, dry cloth and never use solvents, detergents, water, or abrasive materials.
9.1.4 follow handling and storage recommendations provided by Mbilia, including all instructions supplied with the product.
9.2 When removing a sculpture or collectible from its packaging:
9.2.1 always lift the sculpture securely by its base, never by protruding, fragile, or decorative elements.
9.2.2 ensure that two or more people assist with heavy or large pieces.
9.2.3 check that the surface where the sculpture will be placed is stable, level, and capable of supporting its weight.
9.2.4 retain all packaging for future transport or storage, as using non-original packaging may cause damage.
9.3 Mbilia accepts no liability for damage caused by mishandling, neglect, or failure to follow these care and maintenance guidelines. Any such failure may void guarantees and repair rights.
10. Orders, Withdrawal and Returns
10.1 All products offered by Mbilia are made-to-order, limited-edition, or customised works. By placing an order and receiving an Order Confirmation, you enter into a binding and final commitment to purchase. Orders may not be withdrawn or cancelled once confirmed.
10.2 Refunds will not be provided except under the following limited circumstances:
10.2.1 Mbilia is unable to produce or deliver the ordered product within a reasonable period;
10.2.2 the delivered item is materially defective or non-conforming at the time of delivery.
10.3 In such cases, refunds will be processed within thirty (30) days of Mbilia’s written agreement to refund, provided the item is returned in its original packaging and condition where applicable.
11. Guarantee and Repairs
11.1 Mbilia provides a one (1) year guarantee covering defects in materials and workmanship under normal conditions of use.
11.2 This guarantee does not cover:
11.2.1 natural ageing, patina, or variations inherent in handcrafted artworks;
11.2.2 damage resulting from mishandling, improper installation, neglect, accident, or environmental factors such as heat, sunlight, or humidity;
11.2.3 damage caused by cleaning, maintenance, or storage contrary to Clause 9.
11.3 Where a valid guarantee claim is made within the one-year period:
11.3.1 Mbilia may, at its discretion, repair the item or replace it with another piece of the same edition;
11.3.2 if repair or replacement is not reasonably possible, Mbilia may offer a refund of the Purchase Price.
11.4 Items purchased on the secondary market are not covered by this guarantee but may be eligible for repair at Mbilia’s discretion and at the Customer’s cost.
12. Intellectual Property Rights
12.1 All intellectual property rights in Mbilia’s artworks, designs, branding, and website content remain the property of Mbilia.
12.2 You may not copy, reproduce, distribute, or exploit Mbilia’s works without prior written consent.
12.3 Sharing images of Mbilia artworks for personal use on social media is permitted, provided Mbilia is credited.
13. Marketing, Press and Publicity
13.1 Use of Mbilia’s content for press or commercial purposes requires prior written approval.
13.2 Customers may not use Mbilia’s brand for promotional or resale activity without consent.
14. Liability and Indemnity
14.1 Mbilia’s total liability for any claim shall not exceed the Purchase Price of the item in question.
14.2 Mbilia shall not be liable for indirect, incidental, or consequential damages including loss of profits, goodwill, or data.
14.3 You agree to indemnify Mbilia against claims arising from your misuse of artworks, breach of these Terms, or resale without authorisation.
15. Force Majeure
15.1 Mbilia shall not be liable for failure to perform its obligations due to events beyond its reasonable control, including natural disasters, strikes, supply shortages, or government action.
16. Termination
16.1 Mbilia may terminate the Agreement immediately if you fail to make payment, breach these Terms, or act fraudulently.
16.2 You may terminate the Agreement where Mbilia fails to deliver in accordance with these Terms, subject to applicable law.
17. Governing Law and Jurisdiction
17.1 These Terms are governed by the laws of the United Arab Emirates.
17.2 Any dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
18. Final Provisions
18.1 Mbilia reserves the right to amend these Terms at any time; updates will be published on our Website.
18.2 If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
18.3 These Terms constitute the entire agreement between you and Mbilia regarding the purchase of artworks and collectibles.
